          VIDRA a spol. Social and Moral Responsibility

          VIDRA a spol. is committed, in its business activities, to respecting the laws of the Slovak Republic as well as those countries in which it is active, and to conducting business in accordance with sound morals, supporting business competition in a spirit of fair play.

          VIDRA a spol. cares about protecting the environment. Wherever it conducts its activities, it respects the applicable technological and ecological norms.

          VIDRA a spol. builds its relationships with employees, business partners, customers, suppliers, creditors, competitors and the entire society on the basis of trust, respect, respect for fundamental human rights and without any discrimination.

          Relationship with the Customer

          VIDRA a spol. employees treat customers politely, fairly and responsibly, with the aim to satisfy their desires and needs. VIDRA a spol. employees should always bear in mind that customer satisfaction depends on the quality of services and that VIDRA a spol. business results depend on its customers' satisfaction.

          VIDRA a spol. employees do not misuse the customer's trust or his lack of knowledge in certain areas. They do not damage the customer's property and care about his reputation. Information about customers is regarded as confidential.

          VIDRA a spol. employees do not accept or offer bribes in any form directly or by means of third persons. They must not accept gifts or hospitality that may oblige them to provide services which harm the company's interests.

          The Company's Relationship with Employees

          VIDRA a spol. is committed, in its work relationships, to strict observance of the Labour Code and all other legal regulations which determine employer-employee relations. It shall implements a fair policy in hiring, educating and compensating its employees and create conditions for dignified work.

          VIDRA a spol. implements all directives related to safety and health at work. It ensures that every employee is aware of his responsibility for observing safety regulations in order not to put himself, his colleagues or other people at risk.

          Consumption of alcohol or narcotic drugs during or before work is strictly prohibited.

          The Employee's Relationship with the Company

          Every VIDRA a spol. employee also acts as the company's representative and contributes to creating its positive or negative image with respect to customers and the public. It is not acceptable for employees to damage the company's reputation or interests in any way. The employees relationship with the company should be based on the principles of fellowship and loyalty.

          Every employee protects the company's intellectual and material property and uses it solely for the purposes of achieving the company's business goals. Any misuse of information, damage to the company's property or theft is not acceptable. Use of the company's property for personal purposes is permitted only if it is approved by a superior employee in accordance with the applicable company regulations.

          Every VIDRA a spol. employee is obliged to do all he can to avoid a conflict of interests. Should he happen to be in such a conflict, he is obliged to inform the company Director or his direct superior. Conducting business or work activities which are identical with the company's area of business activity is permitted only if it is in accordance with VIDRA a spol. regulations.

          Relationships between Company Employees

          Communication between company employees, including those between superiors and subordinates, is based on cooperation, mutual respect and assistance, tolerance and politeness. Any verbal abuse, slander, humiliation, discrimination, ridicule, psychological or mental harassment is prohibited.

          Every VIDRA a spol. employee is obliged to avoid conflicts at the workplace.

          However, if conflict situations do occur, those involved should show sympathy and good manners in resolving them. Discussion, efforts to listen and understand, a will to find a solution, but not at the expense of others, should be the key principles in resolving any work-related problems.

          Every VIDRA a spol. employees is responsible for his own behaviour and should be aware of its impact on other persons.

          The Binding Nature of the Ethical Codex

          The Ethical Codex is a part of the Mission and Principles VIDRA a spol. company and the Work Order. It is publicly available. It is binding for all VIDRA a spol. managers and employees. Any violation of the Ethical Codex is penalised and may result in termination of employment.

          Every company employee is obliged to report any violation of the Code of Ethics. The report can be given in writing, verbally or by electronic mail to the company Director, a direct superior or an employee confidant. He can approach these people even in the case of any ambiguities regarding the Code's interpretation or supplementation proposals.

          No one shall be penalised or persecuted for reporting a violation of the the Code of Ethics.
